Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Nyte Nebula Consulting Inc., doing business as Nyte Nebula Technology Solutions ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services Description

Nyte Nebula Technology Solutions is a Service-Disabled Veteran-Owned Small Business (SDVOSB) providing:

• Managed IT Services: Infrastructure management, monitoring, help desk support, and virtual CIO (vCIO) services for small and medium businesses.
• Cybersecurity Services: Security assessments, compliance support (HIPAA, CMMC, NIST), incident response, and continuous monitoring.
• Veteran-Support Technology: Technology products that help Veterans organize claim evidence, compare filing paths, and prepare submissions using authorized VA data and plain-language guidance.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our services. By using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable federal, state, or local law or regulation.
• Submit false, misleading, or fraudulent information, including fabricated claims or evidence.
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected third-party systems (including VA APIs).
• Interfere with or disrupt the integrity or performance of our services or related infrastructure.
• Reverse engineer, decompile, or disassemble any portion of our services.
• Use our services for any purpose other than their intended function.
• Scrape, harvest, or collect data from our services through automated means without written authorization.

5. VA API Data & Veteran Information

Where our services access data through the U.S. Department of Veterans Affairs Lighthouse API platform:

• Access requires your explicit OAuth2 authorization and consent.
• VA data is used solely to deliver the Veteran-support services you request.
• We do not sell, monetize, or share your VA data with third parties.
• You may revoke VA data access at any time through your account settings or by contacting us.
• Our use of VA APIs is subject to the VA API Terms of Service, which we comply with in full.

6. Intellectual Property

All content, software, designs, trademarks, and other intellectual property associated with our services are owned by Nyte Nebula Consulting Inc. or its licensors. You may not copy, modify, distribute, or create derivative works based on our services without prior written consent.

Your data remains your property. By using our services, you grant us a limited license to process your data solely for the purpose of delivering the requested services.

7. Service Availability & Modifications

• We strive to maintain reliable service availability but do not guarantee uninterrupted or error-free operation.
• We may modify, suspend, or discontinue any aspect of our services with reasonable notice.
• Scheduled maintenance windows will be communicated in advance where practicable.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid for our services during the twelve (12) months preceding the claim.
• We do not guarantee the accuracy, completeness, or timeliness of any VA data accessed through our services. VA claim decisions are made solely by the Department of Veterans Affairs.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nyte Nebula Consulting Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described in our Privacy Policy.

11. Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions.
• Jurisdiction: Any disputes arising under these Terms shall be resolved in the state or federal courts located in Spokane County, Washington.
• Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@nytenebula.com.

12. Termination

• You may stop using our services at any time.
• We may suspend or terminate your access for violation of these Terms, with or without notice.
• Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will remain in effect.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nyte Nebula Consulting Inc. regarding use of our services, superseding any prior agreements.

15. Changes to These Terms

We may update these Terms periodically. Material changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
